Citizens Bank convenes Special General Meeting (SGM) to issue unissued unsecured preference shares

. KATHMANDU: Citizens Bank has called a special general meeting (SGM) with a proposal to issue ‘7.5 Citizens Unissued Reserved, Preference Shares’. The 7th Special General Meeting (SGM) of the bank was called on May 26.

The AGM of the bank will be held on June 19 at 9.00 am at the bank’s head office building, Narayanhiti Path, Durbarmarg, Kathmandu.TAG_OPEN_div_20 As per the decision of the board of directors of the bank, the proposal for issuance of ‘7.5 percent Citizens Unreleased Stock Preference Share’ worth Rs 100 per share will be presented in the AGM after the directive of Nepal Rastra Bank and approval of the regulatory body.

The bank is issuing a total of 2 TAG_OPEN_div_18 0 million units of shares under the preference shares. The shares are said to be non-redeemable and non-redeemable in nature. Various proposals related to the issuance of preference shares will also be presented in the SAGM.

The agenda of the AGM includes amendment to the Memorandum of Association and Articles of Association of the Bank and the provision of capital mobilization through preferential shares, and to amend the structure by increasing the authorized capital, issued capital and paid-up capital.TAG_OPEN_div_16 Similarly, necessary amendment proposal will be submitted to make the group-owned ownership of the bank more clear.

The meeting will also take a proposal to authorize the Board of Directors to make necessary additions, amendments, language corrections and amendments to the Letter of Association and Articles of Association as per the directives and terms and conditions received from the Nepal Rastra Bank, Office of the Registrar of Companies and the Securities Board of Nepal (SEBON) during the process of issuance, registration and listing of preference shares TAG_OPEN_div_14 ।

For the purpose of the 8th Special General Meeting of the Bank, the registration book of the bank’s shares will be closed on one day on June 10.
